TERMS AND CONDITIONS - LEO Gold Product Pack

1. DEFINITIONS

In this document the following words shall have the following meanings:

  • "Service Provider" means Learning Enterprises Organisation Ltd (LEO) of Battle Barns, 112 Preston Crowmarsh, Oxfordshire OX10 6SL;
  • "Customer" means any person who purchases a LEO product AND who makes an Agreement for the Service with the Service Provider;
  • "Product Pack" is a bundled offering that gives Customer access to specified LEO products and services. Product Packs are typically discounted when compared against the price of purchasing individual items separately.
  • "LEO Gold Products" refers to LEO Gold Packs and Collectors' Items, either together or separately.
  • "LEO CoreLine (or CoreLine)" is a part of LEO’s eLearning product category. Courses are multilingual with a Certificate available upon completion of any course.
  • "LEO Skills" is a part of LEO’s eLearning product category. It is an online platform with a variety of courses designed to improve the Customer skill set. Some courses offer entry into official exams and certifications. Currently available in English only.
  • "Back Office" means a personal website available upon registration as a LEO Customer. It includes features to manage product subscriptions and other aspects of the LEO business opportunity.
  • "Fees" means the payment due from the Customer to the Service Provider for provision of the Services;
  • "Terms and Conditions" means the Terms and Conditions of supply of Services as set out in this document and any subsequent Terms and Conditions agreed in writing by the Service Provider;
  • "Agreement" means the contract between the Service Provider and the Customer for the provision of the Services incorporating these Terms and Conditions.
  • "1 Month" means 30 days.
  • "Gold Provider" means LEO Gold Vault Limited
  • "Fulfilment" means LEO Gold Vault Limited, who complete the fulfilment of LEO Gold Products on behalf of LEO.
2 GENERAL
  1. These Terms and Conditions shall apply to the Agreement for the supply of Services by the Service Provider to the Customer and shall supersede any other documentation or communication between parties.
  2. Any variation to these Terms and Conditions must be agreed in writing by the Service Provider.
  3. Nothing in these Terms and Conditions shall prejudice any condition or warranty, express or implied, or any legal remedy to which the Service Provider may be entitled in relation to the Services, by virtue of any statute, law or regulation.
  4. Any reference in these Terms and Conditions to legislation, statute, regulation or provision thereof shall be construed as a reference to that legislation, statute, regulation or provision as amended, enacted or extended at the relevant time.
3 SERVICES AND DELIVERY
  1. LEO Gold Pack – 1 Month. The Gold Pack offers the following content: Access to LEO CoreLine online streaming products for the duration of the subscription period (fair usage restrictions apply), Live Seminar ticket(s) as defined in subscription option product description, Gold as described in subscription option product description. Subscription duration = 1 month (from date of purchase).
  2. LEO Gold Pack – 4 Month. The Gold Pack offers the following content: Access to LEO eLearning (LEO CoreLine & LEO Skills) online streaming products for the duration of the subscription period (fair usage restrictions apply), Live Seminar ticket(s) as defined in subscription option product description, Gold as described in subscription option product description. Subscription duration = 4 months (from date of purchase).
  3. LEO Gold Pack – 12 Month. The Gold Pack offers the following content: Access to LEO eLearning (LEO CoreLine & LEO Skills) online streaming products for the duration of the subscription period (fair usage restrictions apply), VIP Live Seminar ticket(s) as defined in subscription option product description, Gold as described in subscription option product description. Discount cards and a Collector’s Item Discount Card, as described in the subscription option product description. Subscription duration = 12 months (from date of purchase).
  4. LEO Collectors' Item – The LEO Gold Collectors' Item consists of a 1-ounce gold coin as defined by the product description.
  5. There will be a limited number of Collectors’ Items produced. After the available stock is exhausted further orders will not be possible.
  6. The LEO Gold Packs do not include any Technology products. Products for the Technology categories can be purchased separately on the service providers web shop (LearnEarnOwn.com).
  7. Packs, Gift Codes and Collectors' Items can only be purchased using cash using the current payment providers (this includes payments made on Credit Cards), not online accounts or LEOcoin due to the nature of the physical products and shipping involved.
  8. Only one LEO Gold Pack may be purchased and activated per member account.
  9. LEO are responsible for KYC verifying the member and confirming to the Gold Provider that this has been completed.
  10. LEO Gold Products will not be shipped until Customers have been KYC verified. It is the responsibility of the Customer to ensure any queries around their verification have been fulfilled. If the Customer has not completed their Gold KYC within 30 days of the original purchase date then the shipment will be cancelled and the gold component of the LEO Gold Pack will be refunded (at a fixed price).
  11. Customer name, address, email address and contact number will be shared with Our Chosen Courier to ensure the shipment of their order. Our Chosen Courier will contact the member directly with shipping information and the member should contact Our Chosen Courier directly with any queries.
  12. LEO Gold Vault Limited is responsible for fulfilling and dispatching the LEO Gold Products to the customer. The customer will receive an email from the Chosen Courier once their pack has been dispatched.
  13. The Chosen Courier is responsible for delivering the LEO Gold Products to the customer. Any issues with delivery must first go to the Chosen Courier and then the LEO Support Team. The Chosen Courier will keep the customer updated throughout the delivery process and provide the customer with any options available to them.
  14. If the customer has any special requests for their delivery, it is the customers responsibility to discuss this directly with the Chosen Courier. LEO are unable to do this on the customers behalf.
  15. If the customer opts to use a customs broker of their own choosing, rather than the broker service offered by the Chosen Courier, they will be responsible for all fees incurred.
  16. If the Chosen Courier are unable to deliver the parcel, it is the responsibility of the customer to resolve this with the Chosen Courier and if any fees are incurred, this is also the responsibility of the customer. If the customer fails to make contact with the Chosen Courier, the shipment will be returned to LEO and any further fees will be charged back to the customer.
  17. Once the product has been signed for, it is the responsibility of the customer to insure the gold and keep it safe. LEO holds no responsibility for the gold once a Proof of Delivery (POD) has been received.
  18. The Collector's Item will be available to collect the item at the next LEO Global or Annual Event the Customer is attending. In this circumstance all applicable T&Cs described elsewhere in this document still apply, however the Chosen Courier will be replaced by a representative of the Service Provider. If the customer requests the Collector’s Item to be shipped, the customer will need to pay for shipping, insurance and any customs charges. The service provider will not be liable for the shipping of the Collector’s Item if the customer requests it
  19. The fulfilment provider is provided with the customer data required to fulfil all customer orders. However, the fulfilment provider bears no responsibility for the delivery of the Gold Products.
  20. Customers must comply with each of the terms and conditions laid out by each attribute of the pack. Failure to do so may result in the cancellation of product activation, a full refund should the pack not be shipped, or the member account terminated.
  21. If the customer fails to receive any of its pack contents, it is the responsibility of the customer to notify team support immediately and follow the team support requirements to get the necessary outcome.
  22. A member can only purchase one LEO Gold Pack at any one time and for the validity of that product.
  23. All transactions will be made in GBP.
  24. All shipped items will be delivered via a tracked service; therefore, all parcels must be signed for on receipt. It is the responsibility of the member to ensure the correct address has been registered on the account. LEO will not re-issue items to members who have supplied an incorrect address.
  25. Shipments will only be delivered to the member's registered address. It is not possible for shipments to be sent to any other address.
  26. Refunds will be given only in accordance with the Refund Policy.
  27. Gold purchased within the LEO Gold Pack is unable to be sold back to LEO or LEO Gold Vault.
  28. There will be no upgrade available to LEO Gold Pack purchasers.
  29. Only company produced materials may be used to promote the Gold Supplier. Anyone found to have communicated / advertised by whatever means using anything other than company produced materials will have their account terminated with immediate effect.
4 PURCHASE/REGISTRATION RESTRICTIONS
  1. Customers are permitted to have only one active LEO Gold Pack registered, per account, at any given point in time
  2. Where a Customer attempts to purchase a LEO Gold Pack and use it to register the subscription for an account that already has an active Value Pack, the registration will be declined.
5 LEO CORELINE and LEO SKILLS PRODUCTS FAIR USAGE POLICY
  1. Consumption of LEO CoreLine & LEO Skills products is limited and variable dependant on subscription. It is not unlimited for all packs. A buyer can only stream 10 'active' products from both categories combined at any one time (in the duration of the Gold pack). From 20.8.18 a maximum of 3 can be from the LEO Skills category and the rest from the LEO CoreLine category.
  2. An active LEO CoreLine product is one where the consumer has not yet finished watching the complete content (stream), they have not given a star rating and they have not downloaded a certificate of completion.
  3. A LEO CoreLine certificate of completion will made be available to the Customer to download upon the content being completely consumed (the stream has finished) & if quiz successfully passed (if quiz is applicable for the given content) & star rating is done.
  4. An active LEO Skills product is one where product subscription period has not yet expired (specific to the product chosen subscriptions can be 1 or 4 or 12 months from date of activation and are clearly marked at product description section).
  5. Where the Customer has not already activated at least one CoreLine or Skills product, they will be prompted to activate one product before being able to access other features in their back office.
6 LIVE SEMINAR TICKET CONDITIONS
  1. The appropriate allocation of Live Seminar tickets is valid for 12 months from date of purchase. Regardless of whether a 1 month or 4 months or 12-month Gold pack subscription option is selected.
  2. A Live LEO Seminar is defined as a regional training seminar (typically half day training session).
  3. Seminar tickets that are included in the LEO Gold Pack cannot be redeemed for LEO 'Events' (GAC, GLS, Discover LEO, Product launches).
  4. VIP Live seminar tickets included in VIP Pack enable priority seating, a bonus training session and include lunch or dinner with the seminar speaker and will be included in 12 Month Gold Packs from 20.8.18..
7 GOLD PACK DISCOUNT CARDS
  1. The cards will have unique serial numbers, which will be stored and reconciled within the LEO database and shipped within each 12 Month Gold Pack.
  2. The unique numbers on the cards will be attributed to the purchasing member.
  3. The cards in the 12 Month Gold Pack can be used to redeem 100 GBP discount from the retail price of another purchase of a 12 Month Gold Pack
  4. Each discount card can only be used once.
  5. Only one discount card can be used per Gold Pack purchase. Multiple cards cannot be used to reduce the price of a pack.
  6. The discount can only be redeemed against a 12 Month Gold Pack purchase. It cannot be redeemed against the purchase of any other Gold Packs (1 Month, 4 Month).
  7. Can only be used by a purchasing member who has been validated through KYC.
  8. Each discount card will expire 12 months after the Gold Pack was purchased.
  9. If the card is lost, stolen or damaged, it is the responsibility of the member to inform LEO customer support who will ensure the card is deactivated and re-issue where required.
  10. If a member placement error is made, a replacement PIN code will be provided and where a discount card was used for the misplaced purchase, the discount card will be reset so that it can be used again to sign up the same person in the correct place.
  11. For refunds, the discount will be downgraded so that the member purchase has no value. In the case of refunds, we do not re-issue a PIN or reset the discount card.
  12. Customers must comply with each of the terms and conditions laid out by each attribute of the pack. Failure to do so may result in the cancellation of product activation, a full refund should the pack not be shipped, or the member account terminated.
  13. Discount cards are fully trackable through the LEO system and any sign of fraudulent activity will result in the immediate termination of the member account.
8 Collector’s Item Discount Cards
  1. The card will have a unique serial number, which will be stored and reconciled within the LEO database and shipped as 1 individual item with each 12 Month Gold Pack.
  2. The Discount Card can only be used by a 12 Month Gold Pack purchaser.
  3. The 10% discount will apply for a period of 12 months from the date of the 12 Month Pack purchase, there will be no feasibility for this to be extended should a member be unable to make a purchase within this period.
  4. Where possible, all 12 Month Pack customers will receive an email 30-days before a collector’s item is available to order and will receive a further 30-day period to be able to make a purchase before the Collector’s Item go on general release.
  5. Collector’s items will be purchased on a first come, first served basis and due to the limited number of collector’s items, LEO cannot be held responsible should a member be unable to purchase an item and redeem their discount.
  6. If a member placement error is made, a replacement PIN code will be provided and where a discount card was used for the misplaced purchase, the discount card will be reset so that it can be used again to sign up the same person in the correct place.

9 GOLD PACK SUBSCRIPTION EXPIRY PROCESS
  1. Upon expiry of Gold Pack (1 month or 4 month or 12 month subscription) and where the Customer has accepted the LEO Member Terms and Conditions, the Customer will: remain an "active LEO Member" and have access to Marketing Plan and incentives and Live Seminar tickets will remain available if 12 months from date of purchase have not passed. Access to the Gold Pack eLearning platform and Exclusive Bonus will no longer be available. The Customer will still have the option to buy individual LEO products.
  2. While Customer's Gold Pack eLearning platform access is frozen, they still have option to access legacy eLearning products and/or any eLearning products purchased individually before, during or after Gold Pack activation.
10 CUSTOMER'S OBLIGATIONS
  1. The Customer agrees to cooperate with the Service Provider at all times
  2. The Customer agrees not to resell any LEO branded component of the Gold Pack to another party.
11 SERVICE PROVIDER OBLIGATIONS
  1. The Service Provider shall supply the Services as specified in these Terms and Conditions.
  2. The Service Provider shall have the authority to delegate any obligations to other employees or subcontractors but undertakes to notify the Customer of any significant changes.
12 TERMINATION
  1. The Customer may terminate the Agreement if the Service Provider fails to comply with any aspect of these Terms and Conditions and this failure continues for a period of 2 weeks after notification of non-compliance is given.
  2. The Customer may, if the contents of their Gold Products package is damaged upon delivery, notify the Service Provider of this and request to cancel the agreement on these grounds. This must be done within a period of 14 (fourteen) days of receipt of the LEO Gold Pack products.
  3. If requesting a refund the Customer will be responsible for returning the entirety of the LEO Gold Product package they have received to the Service Provider.
  4. If a Gold Pack Discount Card or a Collectors’ Item Discount Card has been used, any refund awarded for the associated Gold Pack will be minus the value discounted.
  5. If the Gold products contained within the Gold Pack are damaged or not sealed in their original packaging, then the Refund may not be issued.
  6. Upon cancellation of the Gold Pack Subscription the Customer shall no longer have access to stream LEO CoreLine and LEO skills training products. Any benefits received as a result of commissions earned by the Customer will be retained by the Service Provider. Any Live Seminar tickets will be cancelled (regardless of whether the Customer has registered to attend an upcoming seminar)
  7. The Service Provider may terminate the Agreement if the Customer has failed to complete any payment due for the purchase.
  8. Either party may terminate the Agreement by notice in writing to the other if:
    • a) The other party commits a material breach of these Terms and Conditions and, in the case of a breach capable of being remedied, fails to remedy it within a reasonable time of being given written notice from the other party to do so; or
    • b) The other party commits a material breach of these Terms and Conditions which cannot be remedied under any circumstances; or
    • c) The other party ceases to carry on its business or substantially the whole of its business; or
    • d) The other party is declared insolvent, or convenes a meeting of or makes or proposes to make any arrangement or composition with its creditors; or a liquidator, receiver, administrative receiver, manager, trustee or similar officer is appointed over any of its assets.
  9. In the event of termination, the Customer must pay to the Service Provider any expenses incurred up to the date of termination.
  10. Any rights to terminate the Agreement shall be without prejudice to any other accrued rights and liabilities of the parties arising in any way out of the Agreement as at the date of termination.
14 WARRANTY

All parties warrant their authority to enter into this Agreement and have obtained all necessary approvals to do so.

15 LIMITATION OF LIABILITY
  1. The Service Provider shall not be liable under any circumstances to the Customer or any third party for any indirect or consequential loss of profit, consequential or other economic loss suffered by the Customer howsoever caused, as a result of any negligence, breach of contract, misrepresentation or otherwise.
  2. For the avoidance of doubt, time shall not be of the essence and the Service Provider shall incur no liability to the Customer in respect of any failure to complete the Services by any agreed completion date.
  3. The Service Provider bears no responsibility for the market value of the gold products and shall not be liable should this value decline after the date of purchase.
16 FORCE MAJEURE

Neither party shall be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, strikes, lock outs, accidents, war, fire, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply, and the party shall be entitled to a reasonable extension of its obligations.

17 ASSIGNMENT

The Customer shall not be entitled to assign its rights or obligations or delegate its duties under this Agreement without the prior written consent of the Service Provider.

18 RELATIONSHIP OF PARTIES
  1. Nothing in the Agreement shall be construed as establishing or implying a partnership or joint venture between the parties or suggest that either of the parties are agent for the other.
  2. The Service Provider is not a provider of financial advice and any decisions relating to the purchase of any products provided by the Service Provider are entirely at the Customers discretion.
19 THIRD PARTY RIGHTS

Nothing in these Terms and Conditions intend to or confer any rights on a third party.

20 SEVERANCE

If any term or provision of these Terms and Conditions is held invalid, illegal or unenforceable for any reason by any court of competent jurisdiction such provision shall be severed and the remainder of the provisions hereof shall continue in full force and effect as if these Terms and Conditions had been agreed with the invalid, illegal or unenforceable provision eliminated.

21 WAIVER

The failure by either party to enforce at any time or for any period any one or more of the Terms and Conditions herein shall not be a waiver of them or of the right at any time subsequently to enforce all Terms and Conditions.

22 NOTICES

Any notice to be given by either party to the other may be served by email, fax, personal service or by post to the address of the other party given in the Quotation or such other address as such party may from time to time have communicated to the other in writing, and if sent by email shall unless the contrary is proved be deemed to be received on the day it was sent, if sent by fax shall be deemed to be served on receipt of an error free transmission report, if given by letter shall be deemed to have been served at the time at which the letter was delivered personally or if sent by post shall be deemed to have been delivered in the ordinary course of post.

23 ENTIRE AGREEMENT

These Terms and Conditions supersede any previous agreements, arrangements, documents or other undertakings either written or oral.

24 GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the law of England and the parties hereby submit to the exclusive jurisdiction of the English Courts.

25 PRE-ORDER CONDITIONS
  1. During the Collectors' Item Pre-Order Period only the Customers that have already purchased a 12 Month Gold Pack will be able to purchase the Collectors' Item.
  2. Collectors' Items can only be purchased using cash using the current payment providers, not online accounts or LEOcoin due to the nature of the physical products and shipping involved.
  3. All T&Cs outlined previously in the document apply to purchases made within the Pre-Ordering Period.
